1. Acceptance of Terms

By creating an account, accessing, or using FreightFlow.AI ("Platform" or "Service"), you ("Customer", "User", "Fleet Operator") agree to be legally bound by these Terms and our Privacy Policy. If you are entering into this agreement on behalf of a company, partnership, or legal entity, you represent and warrant that you possess the legal authority to bind such entity.

2. Description of SaaS Services

FreightFlow.AI provides automated cloud-based software for commercial fleet logistics expense auditing, fuel card statement reconciliation (IndianOil XTRAPOWER, BPCL SmartFleet, HPCL DriveTrack Plus), GPS telematics cross-audit, and forensic invoice discrepancy detection.

The software produces analytical reports, algorithmic anomaly flags, driver show-cause inquiry vouchers, and Oil Marketing Company (OMC) claim dispute dossiers. The service is strictly a technological audit aid and does not constitute formal legal representation.

3. User Account, Security & Access

• You must provide accurate, current, and complete corporate registration information during onboarding.
• You are responsible for maintaining the confidentiality of your login credentials and API keys (`X-API-Key`).
• You agree to immediately notify us at support@frieghtflow.co.in in case of any unauthorized access or security breach.
• We reserve the right to suspend or terminate accounts that engage in fraudulent activities, reverse engineering, or unauthorized distribution of our forensic algorithms.

4. Subscription Plans, Billing & Razorpay Payment Processing

All paid subscription tiers (Fleet Starter, Fleet Pro, Enterprise Fleet, Dedicated Fleet Accountant) and credit top-up packs are billed in Indian Rupees (INR).

• Payment Gateway: Online payments are processed through Razorpay (Razorpay Software Private Limited) using 256-bit TLS encrypted channels. We accept UPI, NetBanking, and RuPay/Visa/Mastercard debit and credit cards.
• Instant Digital Provisioning: Upon successful transaction authorization, your account subscription tier, audit credits, and API rate limits are provisioned automatically within seconds.
• Taxes: All listed fees are exclusive of statutory Goods and Services Tax (GST @ 18%), which will be charged and itemized on the final tax invoice where legally mandated.
• Renewal & Cancellation: Subscriptions can be canceled at any time through the Billing & Subscription portal. Access continues until the conclusion of the active paid billing cycle.

5. Fleet Data Confidentiality & Intellectual Property

Your Data: You retain complete ownership of all fleet CSVs, fuel slips, GPS logs, vehicle registration rosters, and confidential transport datasets uploaded to FreightFlow. We process customer data solely to generate audit findings and do not monetize or sell customer data to fuel retail competitors.

Our IP: All software code, user interface designs, mathematical anomaly algorithms, database schemas, and proprietary brand trademarks remain the exclusive intellectual property of FreightFlow Logistics Technologies.

6. Limitation of Liability & Disclaimers

FreightFlow provides discrepancy detection tools on an "as-is" and "as-available" basis. While our forensic engines achieve industry-leading precision, the user remains responsible for making final operational payment withholdings or driver disciplinary decisions based on verified physical receipts and contractual terms.

In no event shall FreightFlow Logistics Technologies be liable for indirect, incidental, or consequential damages exceeding the total amount paid by the customer for the service during the three (3) months preceding the claim.

7. Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles. Any legal disputes arising out of or related to these Terms or the use of FreightFlow shall be subject to the exclusive jurisdiction of the competent courts situated in Gurugram, Haryana, India.
